1. Introduction

Welcome to Jnusidroe ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of jnusidroe.com and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement and that you have the right, authority, and capacity to enter into these Terms.

3. Account Registration

Some portions of our Services may require you to create an account. When you register for an account, you agree to provide accurate, current, and complete information and to maintain and update this information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Course Registration and Payment

4.1 Registration

When you register for any of our public speaking courses or programs, you agree to provide accurate and complete registration information. Registration is subject to availability and acceptance.

4.2 Payment

Payments for courses and services must be made in full by the specified due date unless otherwise arranged. We accept payment by credit card, debit card, bank transfer, or other methods specified at the time of registration.

4.3 Refunds and Cancellations

Our refund and cancellation policy is as follows:

• Cancellations made more than 14 days before the course start date: Full refund minus a 10% administration fee.
• Cancellations made 7-14 days before the course start date: 50% refund.
• Cancellations made less than 7 days before the course start date: No refund.

We reserve the right to cancel or reschedule courses due to insufficient enrollment, instructor illness, or other unforeseen circumstances. In such cases, you will be offered a full refund or the option to transfer to another course date.

5. Prohibited Conduct

You agree not to:

• Use the Services in any way that violates applicable laws or regulations.
• Use the Services for any fraudulent or unlawful purpose.
• Interfere with the proper operation of the Services.
• Attempt to bypass any security measures of the Services.
• Use any automated means to access the Services without our permission.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.

6. Intellectual Property Rights

6.1 Our Content

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, "Our Content"), are owned by Jnusidroe, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use Our Content solely for your personal, non-commercial use in connection with the Services.

6.3 Restrictions

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit Our Content, except as permitted by these Terms.
• Delete or alter any copyright, trademark, or other proprietary rights notices from Our Content.
• Access or use for any commercial purposes any part of the Services or Our Content.

7. User Content

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, distribute, and display such User Content in connection with the Services.

You represent and warrant that your User Content does not violate any third party's rights, including intellectual property rights and privacy rights, and complies with all applicable laws and regulations.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JNUSIDROE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jnusidroe, its affiliates, officers, directors, employees, agents, and licensors from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you or any activity related to your account.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in Vancouver, British Columbia, in accordance with the rules of the Canadian Arbitration Association.
